CONDITIONAL GUARANTEE – WEBSITE SERVICES

Build Your Firm (hereafter BYF) hereby guarantees the Accountant that subscribes to a BYF website will acquire more new business (annualized fees) during the first Twelve (12) months of operation than the website service fee. In order for this guarantee to be valid and in force, the Accountant agrees to strictly adhere and perform each and all of the following:

1. The Accountant agrees to provide a Pro-Forma Billings projection of new business after the following periods:

a. First three month period (e.g., 3 month period after website goes live).

b. Six month period

c. Nine month period

d. Eleven month period

This documentation can be placed onto a spreadsheet and needs to detail the lead source, date lead inquired, firm name, owners name, phone number, fee quoted, status and corresponding activity. The owners name and phone number columns can be hidden until the eleventh month as BYF has no interest in contacting your leads unless a refund is requested and fees earned need to be validated.

2. Accountant agrees to use their “best efforts” in signing up new clients and agrees to attend nearly all prospective client appointments.

3. Accountant agrees to ask ALL new prospects how they discovered the accounting firm and determine the source of the new lead (e.g., internet search, referral, etc.).

4. The Accountant agrees to respond to BYF within Seven (7) days of any request regarding total annual fees. The total annual fees are defined as the total fees paid or to be paid over a twelve-month period, regardless of the type and frequency of billing (e.g., back work fees, monthly/quarterly fees annualized, year-end fees, tax fees, special project fees, consulting fees, etc.).

5. Accountant agrees that BYF has the right to inspect and audit client files and all other related information pertaining to gross annual billing as defined by the Conditional Guarantee. BYF will give at least Seven (7) business day’s notice to Accountant if it wishes to exercise this right.

6. If the Accountant generates less new business (e.g., total annual fees) than the cost of website development, BYF will refund Accountants investment and cancel the website with absolutely no penalty and no cancellation fee.

7. For this guarantee to be in effect, Accountant must subscribe to this website for twelve (12) consecutive months. Accountant understands that organic search engine optimization takes 6-12 months to secure solid rankings in the search engines, which is why BYF recommends that Accountant should supplement website with online directory registrations (Bookkeepinghelp.com, QuickBooks Pro Advisor) register with Google Places, use pay-per-click advertising and email newsletter marketing to maximize the new business revenue.

8. If a refund is requested, Accountant agrees that BYF is under no obligation to continue providing Accountant with website services.

9. This website guarantee is only available to new website subscribers who order a website from BYF after December 1, 2010.

10. This agreement shall be governed by and construed in accordance with the law of the state of New York. Recipient agrees to file and prosecute any cause of action pertaining to or arising from this agreement in any court of competent jurisdiction in the Southern District of Westchester County, New York or the United States District Court for the Southern District of Westchester County.
